By accessing or using services provided by Hotchilli Cloud (trading as NodeMax Ltd) via Hotchilli.ai, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

Each engagement is governed by a separate Statement of Work or order confirmation setting out scope, deliverables, timelines and fees. The Statement of Work, together with these Terms, forms the agreement between us. Where the two conflict, the Statement of Work prevails for the specific engagement it covers.
Fees, billing schedule and payment terms are set out in the relevant Statement of Work. Where payment is taken online — for example prepaid audits or productised services — we use Stripe as our payment processor. All fees are non-refundable except as required by law or as expressly agreed in writing.
Where an engagement requires you to hold an account or login credentials with us, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under them. You must notify us immediately of any unauthorised use.

All content, software and methodologies underlying our services are owned by Hotchilli Cloud (trading as NodeMax Ltd) and protected by intellectual property laws. Ownership of bespoke deliverables produced during an engagement is governed by the relevant Statement of Work. You retain ownership of any content or data you supply to us during an engagement.
Your use of our services is also governed by our Privacy Policy. We process your data in accordance with UK GDPR and applicable data protection laws.
To the maximum extent permitted by law, Hotchilli Cloud (trading as NodeMax Ltd) shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of our services.
We strive to maintain high availability of any online tools or hosted services we provide but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability.
We reserve the right to suspend or terminate access to our services for material breach of these terms or the relevant Statement of Work. Either party may terminate an engagement in line with the termination provisions of its Statement of Work.
We may modify these terms at any time. We will notify you of material changes by posting the updated terms on our website. Continued use of our services after such changes constitutes acceptance of the new terms.
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
